Thailand’s Foreign Business Act (FBA) regulates the activities that foreign businesses can engage in, and understanding these regulations is crucial for ensuring compliance. This article outlines the key legal considerations and steps involved in setting up a foreign business in Thailand.

Legal Structures for Foreign Businesses:

Foreign businesses can operate in Thailand under several structures, each with its own legal implications:

•Representative Office: Allows foreign companies to conduct marketing, research, and liaison activities without engaging in revenue-generating activities. No foreign business license is required, but the scope of operations is limited.

•Branch Office: Enables foreign companies to engage in activities like sales and contract negotiations. A branch office is allowed to generate income but is subject to corporate tax and requires a foreign business license.

•BOI-Promoted Company: Offers foreign businesses incentives such as tax exemptions and relaxed foreign ownership restrictions. To qualify, the business must be in a BOI-promoted industry.

Understanding the Foreign Business Act:

The FBA categorizes business activities into three lists:

•List One: Completely restricted to foreign ownership (e.g., media, land trading).

•List Two: Requires special permission from the Ministry of Commerce (e.g., national security-related industries).

•List Three: Requires a foreign business license (e.g., retail, construction).

Foreign businesses must determine which list their intended activities fall under and obtain the necessary licenses or permissions. Violations of the FBA can result in severe penalties, including fines and forced cessation of business activities.
